Introduction

Welcome to Collective Learning AI.

These Terms of Service (Terms) govern your access to and use of the website, platform, applications, AI-enabled learning tools, expert-agent services, content, and related services operated by Collective Learning AI Pty Ltd, also referred to as Collective Learning AI, CLAI, we, us, or our.

By accessing or using our website or services, you agree to be bound by these Terms. If you do not agree with these Terms, you should not use our website or services.

Collective Learning AI is a spin-out company connected with the Macquarie University Incubator. Certain intellectual property associated with the platform and related technologies may be owned by Macquarie University and licensed or otherwise made available to Collective Learning AI for development and commercialisation.

Use of the Website and Services

Eligibility

By using our website or services, you represent that you have the legal capacity to enter into these Terms.

If you are using our services on behalf of an organisation, school, university, company, or government agency, you represent that you have authority to accept these Terms on behalf of that organisation.

If you are under 18 years of age, you should only use our services with the consent and supervision of a parent, guardian, school, university, or authorised institution, where required.

Our Services

Collective Learning AI provides education technology services that may include:

  • personalised learning experiences;
  • Generative AI-supported lesson creation, course design, and content generation;
  • knowledge-sharing and collaboration tools;
  • expert-agent or avatar-based learning support;
  • upskilling and professional development tools;
  • career pathway and capability development features;
  • blockchain-enabled contribution, attribution, credential, or reward mechanisms;
  • institutional, enterprise, or government-facing analytics and learning services.

We may update, modify, suspend, or discontinue parts of our services from time to time.

Acceptable Use

You agree to use our website and services lawfully, responsibly, and in accordance with these Terms.

You must not:

  • use our services for any unlawful, harmful, misleading, abusive, or fraudulent purpose;

We may suspend, restrict, or terminate accounts where necessary to protect users, our platform, our systems, or our legal rights.

AI-Enabled Services

Collective Learning AI uses Generative AI and related technologies to support learning, content generation, knowledge exchange, expert-agent interaction, and professional development.

AI-generated outputs may include summaries, explanations, course materials, learning recommendations, career guidance, skill development suggestions, or other generated content.

You acknowledge that:

  • AI outputs may not always be accurate, complete, current, or suitable for your specific circumstances;
  • AI outputs should be reviewed before being relied upon, published, submitted, or used for decision-making;
  • our services do not replace professional, legal, medical, financial, academic, or career advice where such advice is required;
  • you are responsible for how you use, adapt, publish, or rely on AI-generated outputs.

We may monitor, test, evaluate, or improve AI features to enhance quality, safety, reliability, and user experience, subject to our Privacy Policy.

User Content

You may be able to upload, submit, create, generate, or share content through our services, including prompts, learning materials, documents, comments, expert contributions, feedback, files, or generated outputs.

You retain any rights you hold in your own content, subject to any licence you grant to us under these Terms or under any separate agreement.

By submitting content to our services, you grant Collective Learning AI a non-exclusive, worldwide, royalty-free licence to host, store, process, reproduce, modify, display, use, and transmit that content as reasonably necessary to provide, operate, improve, and support our services.

You represent that you have the necessary rights, permissions, and authority to submit any content you provide to us.

You must not upload content that infringes third-party rights, contains unlawful material, breaches confidentiality obligations, or includes personal information you are not authorised to provide.

Intellectual Property

Our Intellectual Property

All rights, title, and interest in our website, platform, software, systems, models, user interface, design, branding, logos, content, documentation, workflows, databases, knowledge structures, AI agents, and related materials are owned by or licensed to Collective Learning AI.

Some intellectual property associated with the platform and related technologies may be owned by Macquarie University and licensed or otherwise made available to Collective Learning AI.

Nothing in these Terms transfers ownership of our intellectual property, Macquarie University intellectual property, or third-party intellectual property to you.

Licence to Use

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable licence to access and use our website and services for their intended purpose.

You must not copy, reproduce, modify, distribute, sell, lease, sublicense, create derivative works from, or commercially exploit any part of our services unless expressly permitted by us in writing.

Blockchain, Rewards, and Contribution Recognition

Collective Learning AI may use blockchain or related technologies to support contribution recognition, rewards, credential verification, attribution, intellectual property tracking, or trust mechanisms.

Where blockchain-enabled features are used:

  • certain records may be persistent or difficult to modify or delete;
  • tokens, rewards, or recognition mechanisms may be subject to separate terms;
  • we may use off-chain storage, hashes, metadata, identifiers, or other mechanisms to reduce unnecessary exposure of personal information;
  • participation in blockchain-related features may require additional terms or consent.

We do not guarantee any financial value, exchange value, or future benefit from any reward, token, credential, or recognition mechanism unless expressly stated in separate written terms.

Institutional and Partner Use

Our services may be provided through schools, universities, employers, government agencies, or other organisations.

Where you access our services through an institution or organisation, additional terms, policies, privacy notices, consent forms, or agreements may apply.

Authorised administrators, educators, mentors, or organisational representatives may have access to certain information, reports, progress data, or analytics depending on the relevant arrangement.

  • AI-generated outputs will be accurate, complete, reliable, or suitable for your specific needs;
  • learning recommendations or career guidance will produce a particular educational, employment, career, business, or financial outcome;
  • any content, data, or information will remain available indefinitely.

Nothing in these Terms excludes, restricts, or modifies any rights, guarantees, warranties, or remedies that cannot be excluded under applicable law, including the Australian Consumer Law where applicable.

Limitation of Liability

To the fullest extent permitted by law, Collective Learning AI Pty Ltd and its directors, officers, employees, contractors, advisers, licensors, and agents will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive loss or damage, including loss of profits, revenue, data, goodwill, opportunity, or business.

To the extent permitted by law, our total liability to you for any claim arising out of or relating to these Terms or your use of our website or services is limited to the amount you paid to us for the relevant service, or if no amount was paid, AUD $100.

Indemnity

You agree to indemnify and hold harmless Collective Learning AI Pty Ltd and its directors, officers, employees, contractors, advisers, licensors, and agents from and against any claims, liabilities, losses, damages, costs, and expenses arising from or connected with:

  • your use of our website or services;
